1. Definitions
“System” — the website, online booking, missed-call text-back, reminders, review requests, reporting and other tools we set up and run for you. “Platform” — our code, templates, workflows, automations and know-how used to build Systems for all clients. “Client Content” — material you give us (brand, logos, photos, texts, price lists). “Client Data” — personal information about your customers (“End Customers”) collected or stored through your System. “Texts-Live Date” — the day carrier approval lets your System send texts. “Billing Period” — each month starting on your first charge.
2. Free demo
We may build a demo site for your business at no charge and with no obligation. The demo, its design and code remain ours; you may not copy or publish it unless you subscribe. We may take a demo offline after a reasonable time.
3. The Services
3.1 Included: website (1–5 pages); online booking with confirmations and reminders; missed-call text-back on a business number we provide; your client list imported at launch; Google Business Profile set-up and clean-up; a review request after every visit, to every customer; follow-ups for no-shows and unanswered enquiries; a monthly report. Launch work (number set-up, carrier registration, a recorded walkthrough, a first-week check-in call) is included at no charge.
3.2 Timing: website and booking in the first week after we receive your materials and access; texts start after carrier approval, usually 1–2 weeks, which is outside our control.
3.3 Add-ons (AI receptionist, win-back campaigns, local SEO, extra pages) are quoted in writing and billed only after you approve the quote.
3.4 Not included: paid-ads management or ad spend, legal/tax advice, content beyond 3.1, and anything not listed in this section or an approved quote.
3.5 AI receptionist (add-on): it answers inbound calls with an automated voice, tells callers they are speaking with an automated assistant, takes messages and books appointments. It does not make outbound sales calls. Review its settings and scripts; you are responsible for what it is told to say.
4. Your responsibilities
4.1 Give accurate business information, materials and access (Google Business Profile, domain, calendar) and respond to the bookings and messages the System sends you.
4.2 Consent and lawful messaging. You are the sender of messages to your End Customers. You will (a) only ask us to message people who gave consent or another lawful basis under Canada's Anti-Spam Legislation (CASL); (b) not upload purchased, rented or scraped lists; (c) keep the consent checkboxes and “Reply STOP” wording we provide; (d) not ask for messages that are false, misleading, or break carrier, texting-platform or Google rules.
4.3 Reviews. Review requests go to every customer in the same way. You will not ask only happy customers, offer anything in exchange for reviews, or post reviews about your own business.
4.4 Your content. You confirm you own or have permission to use Client Content, including written consent from any person whose name, photo or testimonial appears on your site.
4.5 Your customer-facing terms (prices, deposits, cancellation and no-show fees, memberships) are yours. We can supply templates; you approve and are responsible for them.
4.6 Do not send us health information about End Customers unless we sign a separate agreement for it.
5. Messages we send for you
We send texts, emails and calls only as configured with you, identify your business in each message, and include an opt-out. We act on STOP and unsubscribe requests immediately and keep suppression lists. We may pause or refuse to send any message that we reasonably believe breaks the law, carrier or platform rules, or these Terms, and we'll tell you why. Carriers may filter or delay messages; delivery is not guaranteed. Phone numbers we provide are leased to us; after cancellation we will help port the number to you where the carrier allows, at the carrier's cost if any.
6. Fees, usage and payment
6.1 Fee: $299 per Billing Period, charged in advance by card through our payment processor. By adding a card you authorize us to charge it each Billing Period for the fee, any usage above the included amounts, approved add-ons and applicable taxes, until your cancellation takes effect.
6.2 Founding local rate: if your order says so, $299 is held for your first six Billing Periods, counted from your Texts-Live Date. After that the fee moves to our standard rate at that time; we will give you at least 30 days' written notice of the new amount, and you may cancel before it applies.
6.3 Included usage and overage: each Billing Period includes 2,000 text segments and 500 voice minutes across your account. A segment is up to 160 standard characters (70 if the text contains emoji or special characters). Extra usage is billed on the next charge at $0.06 per segment and $0.35 per minute. Unused amounts do not roll over. We email you at 80% of the included usage.
6.4 Taxes: prices exclude taxes. We add GST (5%) and BC PST (7%) only while we are registered to collect them, and show the registration numbers on invoices; we give you 30 days' notice before we start adding a tax after registering. Until then: we are not registered for GST or PST and do not charge them.
6.5 Price changes: we may change fees with at least 30 days' written notice.
6.6 Late payment: if a charge fails we retry and email you a written notice of the amount, what it is for and how to reach us. We don't phone about a missed payment until at least 5 days after that notice, and only between 7 a.m. and 9 p.m. (Sundays 1–5 p.m., never on statutory holidays). If it is still unpaid 7 days after the notice, we may pause texts and automations; after 14 more days we may take the site offline until paid. Pausing for non-payment is not a breach by us.
6.7 Refunds: the current Billing Period is not refunded once it starts, except where the law requires or where we fail to deliver the Services. If you think a charge is wrong, contact us within 30 days — most issues are fixed faster than a card dispute.
7. Term, renewal and cancellation
7.1 Month-to-month. Your plan renews automatically each Billing Period until cancelled.
7.2 You may cancel at any time by email to maxautomateai@gmail.com with 30 days' notice. Cancellation takes effect 30 days after we receive the email; the last Billing Period is prorated to that date. We'll offer one short handover call so your site, numbers and client list move over properly; the call is optional.
7.3 If we change these Terms or fees to your disadvantage, you may cancel effective the day the change applies, without the 30 days' notice.
7.4 We may end the Services with 30 days' notice, or immediately if you break §4.2–4.4, fail to pay after §6.6, or use the System unlawfully.
8. When the Services end
8.1 Within 10 business days after the end date we deliver: (a) your End Customer list and booking history as CSV; (b) a static copy of your website; (c) help to point your domain elsewhere. Domains we register for you are registered in your name.
8.2 Site Keep-Alive. Unless you tell us otherwise in your cancellation email or any time before the end date, your website, domain hosting and booking page stay live on Site Keep-Alive for $39 per month plus applicable tax, from the end date: no texts, reminders or automations. We email you 7 days before the first Keep-Alive charge. You can end Keep-Alive at any time by email; it stops at the end of the month already paid.
8.3 We delete Client Data from live systems 60 days after delivering the export; backups roll off within 35 days. We keep billing records (6 years) and consent/opt-out records (3 years) as the law requires.
9. Ownership and licence
9.1 The Platform remains ours. While you subscribe, you get a non-exclusive, non-transferable licence to use your System.
9.2 Client Content and Client Data remain yours. Texts and images we create specifically for your site are licensed to you during the subscription and, once all fees are paid, you may keep using them and the static copy of your site without time limit. Our Platform, templates and code are not transferred.
9.3 You let us show your live site in our portfolio unless you tell us not to. We will not publish your results, name or quotes without your written permission.
10. Personal information — we act as your service provider
10.1 We collect, use and store Client Data only to provide the Services, on your instructions, and as described in our Privacy Policy; we never sell it or use it to market to your End Customers.
10.2 We protect it with reasonable safeguards (encryption in transit, access limited to people who need it, multi-factor authentication on admin accounts) and confidentiality obligations on our staff.
10.3 We use service providers to run the System (hosting, email, texts and calls, payments, booking and automation software). Some store data outside Canada, mainly in the United States, where it may be accessible to authorities under those countries' laws. List: maxautomate.ai/privacy#service-providers. We'll email you before adding a provider that receives Client Data.
10.4 We tell you without undue delay (target: within 72 hours) after we learn of a breach affecting Client Data, and help you assess and notify as the law requires.
10.5 We help you answer access and correction requests from End Customers within the legal deadlines.
10.6 You are responsible for your own privacy policy and notices to End Customers; we provide a template.
11. Confidentiality
Each of us keeps the other's non-public business information confidential and uses it only for these Terms, during and after the subscription.
12. Warranties and disclaimers
We will perform the Services with reasonable skill and care. We do not promise any number of bookings, calls, reviews, rankings or revenue. Google, carriers, payment processors and other third-party platforms can change or fail; we are not responsible for their decisions. Automated and AI features can make mistakes; check settings and messages that matter to your business.
13. Limitation of liability
13.1 Our total liability for all claims relating to these Terms is limited to the fees you paid us in the 6 months before the event giving rise to the claim.
13.2 Neither of us is liable for indirect or consequential losses, lost profits, lost revenue or lost data that could have been avoided by keeping the exports we provide.
13.3 These limits do not apply to your payment obligations, to §14, or to liability that cannot be limited by law (including fraud).
14. Indemnity
You will defend and pay us for third-party claims, fines and reasonable legal costs caused by Client Content, your instructions, your contact lists or consents, or your breach of §4 or of law (including CASL, privacy and consumer-protection law).
15. Changes to these Terms
We may update these Terms with at least 30 days' email notice for changes that reduce your rights or increase fees; §7.3 applies. Other changes take effect when posted with a new “Last updated” date.
16. Law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. We will first try to resolve any dispute by talking for 30 days. If that fails, the courts of British Columbia (Vancouver registry) decide; claims within its limits (currently $5,000) may go to the BC Civil Resolution Tribunal. There is no arbitration clause and no class-action waiver.
17. General
Notices are by email to the addresses on your account. You accept these Terms electronically, which is as binding as a signature. We may assign these Terms to a company we control or to a successor of our business (for example, when we incorporate), with notice to you. If a clause is unenforceable, the rest stays in force. Sections 8–14 and 16 survive the end of the Services. These Terms, your order and any approved quotes are the whole agreement; if they conflict, the approved quote wins for that item.
